Larssons Träindustri i Tranemo AB – B2B Terms & Conditions

 

1. Scope

These terms apply to all transactions between Larssons Träindustri i Tranemo AB (“Seller”) and the customer (“Buyer”) via the webshop, unless otherwise agreed in writing.

 

2. Agreement and order confirmation

2.1. When an order is placed in the webshop, an automatic acknowledgement is sent by e-mail. This is only an acknowledgement of receipt and does not constitute a binding agreement.

2.2. A binding contract is formed only when the Seller issues a separate order confirmation. The confirmation specifies delivery time and partial deliveries for items not in stock.

 

3. Prices and payment

3.1. Prices are customer-specific and displayed after login. All prices are net, excluding VAT.

3.2. Quantity discounts or tiered prices are applied automatically according to the webshop.

3.3. Invoices and order history are available via “My Pages”.

3.4. Payment is made according to agreement or invoice. Late payment incurs statutory interest.

 

4. Order conditions

4.1. Minimum order value: SEK 1,500 net.

4.2. Orders below SEK 1,500 are subject to SEK 150 administrative fee.

4.3. Certain products are sold only in multiples (e.g., 100 or 1,000 units).

 

5. Campaign Policy

5.1 Campaign pricing applies to orders placed during the campaign period.

5.2 Price protection may be granted for a maximum of two (2) months after the campaign offer has expired.

5.3 After this period, the regular price at the time of production will apply.

5.4 A requested delivery date may be stated as indicative, but campaign pricing cannot be guaranteed for deliveries scheduled more than two months ahead.

5.5 Production and delivery are carried out according to the principle of first come, first served, based on order date and current production capacity.

 

6. Back Orders

6.1 When placing an order, it must be specified whether back orders are accepted or not.

6.2 If back orders are accepted, available items will be delivered on the requested delivery date.

6.3 Remaining products will be delivered as back orders once complete.

6.4 For accepted back orders, the same price as at the time of ordering will apply.

 

7. Delivery and freight

7.1. Delivery terms: EXW (Ex Works) from the warehouse in Tranemo, according to Incoterms 2020, unless otherwise agreed.

7.2. Freight charges are invoiced at actual cost.

7.3. Buyers may specify preferred delivery date when placing an order.

7.4. If an item is out of stock, partial delivery will be made automatically. Freight for partial deliveries is invoiced as agreed.

 

8. Credit Terms

8.1. Standard payment terms are 30 days net from the invoice date, unless otherwise agreed.

8.2. For new customers, prepayment may be required until a stable business relationship has been established.

8.3. Payment terms may thereafter be reviewed and adjusted by the Seller based on the Buyer’s payment history and cooperation.

 

9. Retention of title

Goods remain the property of the Seller until full payment is received.

 

10. Claims and liability

10.1. Transport damages must be noted on the delivery note, reported to the carrier and the Seller without delay.

10.2. Hidden defects or deviations must be notified in writing within five (5) business days of receipt.

10.3. Seller’s liability is limited to replacement or delivery of defective goods. Indirect damages such as production loss or lost profit are not covered.

 

11. Returns

11.1. Returns are accepted only after prior written approval from the Seller. Returns without prior written approval will not be accepted.

11.2. Return requests must be submitted via a claim notification using the contact methods provided by the Seller. The Seller will review the request and notify the Buyer whether the return is approved.

11.3. Products returned without valid written approval will not be processed or credited.

11.4. For approved returns, products must be returned in undamaged and unused condition, properly packaged and labeled according to the Seller’s instructions.

 

12. Force majeure

The Seller is not liable for delays or damages caused by circumstances beyond its reasonable control, such as strikes, fire, natural disasters or transport disruptions.

 

13. Governing law and disputes

Swedish law applies. Disputes are settled in Swedish courts, Borås District Court as the court of first instance.
